5.27. Resolutions and decisions of the Board are carried in an open vote and by a simple majority in the presence of no less than half of the total number of Board members. In certain matters any Board member may call for a vote by secret ballot. In the event of a tie vote, the Chairman of the Board shall cast the deciding vote.
